A considered route,

This jurisdiction rewards operators who treat the application as the start of a supervisory relationship.

A strong fit

When this is the right choice

Crypto exchanges and VASP operators
The Seychelles FSA has issued VASP registrations to major global exchanges including Binance and BitMEX at various points. For crypto businesses seeking a reputable offshore regulatory address, Seychelles is a well-trodden path with predictable timelines.
Offshore fund managers and investment advisors
Seychelles offers securities dealer and investment advisor licences under a proportionate regulatory framework. Fund structures, including segregated portfolio companies, are well-supported under Seychelles corporate law.
FX brokers and derivatives platforms
Seychelles FSA-licensed securities dealers can operate FX and derivatives businesses serving international clients from a recognised offshore base, at significantly lower cost and overhead than an EU or tier-1 jurisdiction.
A poor fit

When to consider an alternative

Operators needing EU or institutional banking access
A Seychelles licence alone does not satisfy EU regulatory equivalence requirements. Operators requiring EU payment processor relationships, MiCA compliance, or institutional banking typically need to layer a Seychelles structure with an EU-regulated entity.
Operators targeting retail clients in major regulated markets
Seychelles FSA regulation is not recognised in the UK, EU, US, or Australia for retail market access. Marketing to retail clients in these markets on the basis of a Seychelles licence exposes operators to significant regulatory risk.
Businesses that require tier-1 reputational credibility
Seychelles sits in the offshore tier alongside Vanuatu, BVI, and Anjouan. It is credible for institutional and sophisticated investor client bases, but does not carry the same commercial weight as MGA, UKGC, or FINMA.

Choosing the right tier and scope is the most consequential decision in the application.

Virtual Asset Service Provider (VASP)

Seychelles VASP registration covers crypto exchange, OTC, and custody services. The FSA introduced its VASP framework in 2022 and has become a recognised offshore VASP jurisdiction used by major exchanges.

Securities Dealer Licence

Covers FX brokerage, derivatives dealing, and investment advisory services for international clients. The primary licence for offshore FX and CFD brokers using Seychelles as their regulatory base.

International Corporate Service Provider

Covers trust, corporate service, and fund administration functions. Used by Seychelles-based entities providing offshore company formation, nominee, and fiduciary services to international clients.

03 — Path to grant

Phases to licence grant.

Seychelles entity incorporation

Week 1—2

International Business Company (IBC) or Special Licence Company (CSL) incorporated in Seychelles. Registered agent appointed, share capital deposited, and UBO documentation prepared.

Application preparation

Weeks 2—4

FSA application assembled: business plan, AML/CFT policies, KYC procedures, management CVs, source of funds, and operating capital evidence.

FSA review

Weeks 4—6

FSA reviews application documentation and may request clarifications. For VASP applications, technology documentation including platform security overview is typically required.

Licence grant

Weeks 6—8

FSA licence issued. Annual renewal obligations, AML reporting, and financial returns activated. VASP licensees subject to ongoing AML supervision.

04 — Year-one economics

Cost and regulatory
burden.

Year-one spend is dominated by substance — resident director, office, compliance officer, external audit — not the licence fee itself.

Cost itemAmount
FSA application fee USD 1,000 — 3,000
Annual licence fee USD 2,000 — 8,000
Seychelles IBC incorporation USD 1,500 — 3,000
Registered agent (annual) USD 1,500 — 3,000
AML/compliance advisory USD 5,000 — 15,000 / yr
Year-1 total ~USD 20K — 50K

Seychelles is one of the most cost-efficient offshore jurisdictions for financial services and VASP licensing. Operating capital (USD 50K) is the primary upfront commitment. Annual running costs are minimal compared to onshore EU alternatives — making Seychelles an effective offshore layer in multi-jurisdictional structures.

05 — Common questions

What founders
ask before filing.

The questions we get on every diagnostic call. If yours isn't here, raise it in the consultation.

An International Business Company (IBC) is the standard offshore vehicle — no Seychelles tax on foreign-source income, no local activity required, and private ownership. A Special Licence Company (CSL) is used when the company needs to conduct local Seychelles business and benefits from a 1.5% preferential tax rate.
Yes — Seychelles is commonly used as the regulatory base for exchanges primarily serving Asian, LATAM, and African markets. The FSA's VASP framework provides a recognised regulatory address, and the jurisdiction's neutrality and offshore status suit operators not targeting EU or North American retail clients.
Yes. Seychelles adopted FATF-compliant AML legislation and the FSA enforces AML/CFT obligations on all licensees. KYC at client onboarding, ongoing transaction monitoring, STR filing, and beneficial ownership disclosure are all mandatory.
IBCs have no Seychelles income tax on foreign-source income. CSLs are taxed at 1.5% on taxable income. There is no capital gains tax, withholding tax on dividends, or inheritance tax. This makes Seychelles one of the most tax-efficient offshore structures available.
Seychelles is faster and cheaper to establish than BVI or Mauritius but carries slightly less regulatory weight than Mauritius FSC. For crypto-specific VASP licensing, Seychelles has become more prominent than BVI since introducing its dedicated VASP framework. For fund structures, Mauritius is generally preferred for Indian market access, while Seychelles suits global-facing funds.
